FIXLAYER Cloud Service Terms — Business Customers

Version: v2026-10-26-b2b · Effective for new purchases: upon express acceptance in an authorized Checkout · Updated: 26 October 2026

1. Provider and transaction seller

FIXLAYER is software developed under the OLVERTH brand by Iadema Studio OÜ, Estonian registry number 16768134, Valge tn 13, Kesklinna linnaosa, Tallinn, Harju maakond, 11415, Estonia (registered details to be independently reconfirmed before commercial sale). Contact: olverthsolutions@gmail.com.

The legal seller and issuer of any payment document depend on the actual approved Checkout model. For supported Stripe Managed Payments purchases, Link/Stripe acts as merchant of record and displays its purchase conditions at Checkout and on receipts. If the operator instead uses direct Stripe Payments, Iadema Studio OÜ would be the seller, subject to the verified transaction countries, VAT/Tax registration and invoicing arrangements. We will not combine or silently switch the two models for a single transaction.

2. Who may buy

The proposed first paid pilot is exclusively for independently verified businesses and professionals purchasing for business use. Eligibility depends on business-identity evidence, selected country, and the chosen seller's actual coverage. These Preview conditions do not authorize sales to consumers or unsupported countries. Consumers retain any non-waivable protections if a transaction legally falls within consumer legislation, regardless of a purchaser's label.

3. What the software provides

FIXLAYER performs user-directed, read-only diagnostic comparisons of submitted usage, credit, event and invoice/metering records in supported formats. Findings mean possible discrepancies requiring human examination, not established loss, recovery, debt or proof that the submitted records are complete or authentic. FIXLAYER does not automatically correct customer billing, recover money or provide legal, fiscal or accounting advice.

Free audits operate locally in the browser. An enabled paid cloud check processes an accepted JSON dataset transiently on Cloudflare and stores check metadata, counts and data fingerprints rather than the complete submitted raw input. Under the current pilot, only synthetic or suitably anonymized data should be submitted. Current size and supported-schema limits apply. Planned Growth, Scale, automated integrations and continuous monitoring are not included in Starter.

4. Prices, allowances and expiration

Starter Monthly: €19 per month. Starter Annual: €180 paid each year. Listed prices exclude any applicable taxes unless final Checkout explicitly states otherwise. Active, paid Starter includes up to 100 completed cloud checks per UTC calendar month. Unused included monthly checks do not carry over, including during an annual subscription. A completed accepted cloud check consumes one available monthly allowance or, if exhausted, one eligible purchased check. Invalid, rejected or idempotent replays do not create a second charge under the current technical rules.

Additional non-renewing packs, available only with active Starter: 50 checks €9; 250 checks €35; 1,000 checks €99. Purchased checks are used after available monthly allowances and have a technical expiry 365 days after purchase. Packs have no cash value and do not trigger automatic charges. Contractual expiry and remedies are subject to mandatory law and the actual transaction seller’s purchase conditions.

5. Payments, renewal and cancellation

Each authorized purchase must display the seller, amount, billing period, taxes and payment conditions on Checkout before confirmation. Starter subscriptions renew automatically at the chosen monthly or annual billing interval until validly cancelled. A cancellation should stop future renewals; ordinarily it does not automatically reverse an already paid and delivered subscription period. The provider-confirmed paid-through date controls service access, subject to mandatory remedies. Payment method updates and cancellation may be available through the Stripe Customer Portal and, where Managed Payments applies, Link customer order management.

We do not charge automatic overages or automatically buy extra packs. Failed or disputed payments may restrict paid entitlements pending accurate provider reconciliation. Invoices/receipts, taxes and credit notes are issued by the legally responsible seller or payment provider for that transaction, rather than guaranteed to be issued directly by FIXLAYER.

6. Refunds and payment errors

For verified business purchases, no discretionary refund is offered solely for a change of mind, unused subscription time or voluntarily unused check packs after a properly authorized purchase. This is subject to applicable law, confirmed material non-delivery, duplicate or erroneous billing, chargebacks and the policy or decisions of the actual merchant of record. It never removes non-waivable remedies. See Refunds, cancellations and payment issues, including the procedure for non-delivery and incorrect charges.

7. Customer obligations and prohibited inputs

Account holders must provide accurate business details, protect credentials, avoid sharing access, use only data they are legally entitled to process, and not upload secrets, card data, unredacted customer financial records or regulated personal information to this Preview. Attempts to circumvent account isolation, quotas, payment controls or security protections are prohibited. We may limit abusive activity for security and legal reasons, without unlawfully removing already accrued rights.

8. Data handling and confidentiality

Read our Privacy Notice and, where customer records are processed by FIXLAYER on behalf of a business, the Data Processing Agreement where separately signed and applicable. Appropriate controller/processor responsibilities, retention, international data transfers and incident response must be approved before accepting sensitive or identifiable customer records. A technical check is not an external assurance audit or certification.

9. Intellectual property, availability and support

Customers retain rights in their submitted records. Subject to a valid subscription and applicable law, the customer receives a limited, non-exclusive right to access the purchased service for internal business use, not a transfer of FIXLAYER software intellectual property. Best-efforts diagnostics do not establish an unconditional availability guarantee, a guaranteed monetary recovery or a particular audit outcome. Service outages, billing errors and account requests can be raised via olverthsolutions@gmail.com. Service-level remedies and support timeframes require final operational and legal approval.

10. Legal effect, liability and changes

These draft terms do not seek to exclude responsibility that applicable law prohibits excluding. Any enforceable limitations of liability, applicable governing law and dispute forum are subject to applicable law and, for transactions sold by Link/Stripe as merchant of record, that seller’s actual purchase terms. Nothing here excludes non-waivable customer remedies or liability. Material future changes, prices and contract revisions will be communicated as required by law. Live buyers will be asked to accept the exact final version recorded with a verified SHA-256 of the published contract before Stripe Checkout is opened.
